  • Welcome to AideRing. These Terms of Service govern your access to and use of our website and our AI Phone Agent project creation, deployment, and management services (collectively, the “Services”).
  • By accessing the Site or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1. Description of Services

  • AideRing provides a platform that enables users to design, build, and deploy customized AI Phone Agent projects. This includes:
    • Tools and AI assistance for creating AI Phone Agent workflows and capabilities.
    • Management of AI Phone Agent projects.
    • Integration with third-party services as configured by the User (e.g., CRM, scheduling tools).
    • Facilitation of outbound and inbound call handling through AI Phone Agents based on User-defined projects and User-provided recipient lists or Knowledge Base information.
  • You acknowledge that AideRing acts as an intermediary platform providing the tools and infrastructure for you to create and manage your AI Phone Agent projects. While calls may be technically initiated or received via infrastructure connected to AideRing (e.g., through our account with third-party voice providers like Bland.ai), you are solely responsible for the purpose, content, legality, and execution of all call campaigns and AI Phone Agent interactions initiated through your account.

2. User Accounts and Responsibilities

  • Account Creation: To use certain features of the Services, you must register for an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • User Conduct and Content: You are solely responsible for all data, information, call lists, Knowledge Base content, project configurations, and the overall purpose and execution of your AI Phone Agent communications (“User Content”).
  • You agree not to use the Services for any unlawful, harmful, fraudulent, harassing, or otherwise objectionable purpose. This includes, but is not limited to:
    • Transmitting any material that is abusive, defamatory, obscene, or hateful.
    • Engaging in or promoting fraudulent activities, scams, or deceptive practices.
    • Making unsolicited calls or sending messages in violation of applicable laws and regulations (e.g., TCPA, GDPR, Do Not Call lists).
    • Harassing, threatening, or intimidating individuals.
    • Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
    • Violating any applicable local, state, national, or international law or regulation.
    • Infringing upon the intellectual property rights or privacy rights of others.
  • You represent and warrant that you have all necessary rights, consents, and permissions to use and share User Content, including recipient phone lists and any personal data contained therein, in connection with the Services and in compliance with all applicable laws.

3. Service Usage and Limitations

  • Credit-Based System: Access to and use of certain features of the Services, including AI Phone Agent call time and monthly project maintenance, are subject to a credit-based system. Credits are purchased by you and deducted according to our published pricing schedule.
  • Project Creation and Review: You may submit project requirements for AI Phone Agent creation. AideRing reserves the absolute right, in its sole discretion, to refuse to build, deploy, or maintain any project that it deems, or suspects to be, intended for illegal, fraudulent, harassing, or otherwise abusive or unethical purposes. AideRing is under no obligation to provide a reason for such refusal but may do so at its discretion. The final interpretation of what constitutes an unacceptable project rests solely with AideRing.
  • Knowledge Base: You are responsible for the accuracy, legality, and appropriateness of all content uploaded to or input into the Knowledge Base feature.
  • Third-Party Integrations: The Services may allow you to integrate with third-party applications. Your use of such third-party applications is governed by their respective terms of service and privacy policies. AideRing is not responsible for the data handling practices or performance of any third-party services.

4. Disclaimers and Limitation of Liability

  • No Responsibility for Call Content or Purpose:
    • YOU ACKNOWLEDGE AND AGREE THAT AIDERING PROVIDES A PLATFORM FOR YOU TO CREATE AND MANAGE AI PHONE AGENT PROJECTS AND DOES NOT CONTROL, INITIATE, OR DIRECT THE SPECIFIC CONTENT, PURPOSE, OR TARGET RECIPIENTS OF THE CALLS MADE OR RECEIVED THROUGH YOUR AI PHONE AGENT PROJECTS.
    • AIDERING ACTS MERELY AS A TECHNOLOGY PROVIDER AND INTERMEDIARY. YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR THE NATURE, CONTENT, LEGALITY, AND CONSEQUENCES OF ALL COMMUNICATIONS CONDUCTED USING THE AI PHONE AGENTS YOU CREATE AND DEPLOY THROUGH OUR SERVICES.
    • THIS INCLUDES, BUT IS NOT LIMITED TO, RESPONSIBILITY FOR COMPLIANCE WITH ALL APPLICABLE LAWS AND REGULATIONS REGARDING TELEMARKETING, DATA PRIVACY, CONSENT FOR CALLING, AND ANTI-FRAUD STATUTES.
  • Disclaimer of Liability for User Actions and Call Outcomes:
    • TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AIDERING, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:
    • (I) YOUR USE OR INABILITY TO USE THE SERVICES;
    • (II) THE CONDUCT, CONTENT, OR OUTCOME OF ANY CALLS OR COMMUNICATIONS MADE OR RECEIVED THROUGH AI PHONE AGENTS CREATED OR MANAGED VIA THE SERVICES, INCLUDING ANY CLAIMS OF FRAUD, MISREPRESENTATION, HARASSMENT, OR OTHER UNLAWFUL ACTIVITY PERPETRATED BY YOU OR ANY THIRD PARTY USING AN AI PHONE AGENT ASSOCIATED WITH YOUR ACCOUNT;
    • (III) ANY DISPUTES, LOSSES, OR DAMAGES ARISING BETWEEN YOU AND THE RECIPIENTS OF CALLS INITIATED VIA YOUR AI PHONE AGENT PROJECTS;
    • (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
    • (V) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR
    • (VI) ANY OTHER MATTER RELATING TO THE SERVICES.
    • THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF AIDERING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
  • No Endorsement: AideRing does not endorse and is not responsible for the accuracy, legality, or appropriateness of any User Content or the purpose of any AI Phone Agent project created by users.
  • “As Is” Service: THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AIDERING MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • Maximum Liability: IN NO EVENT SHALL THE AGGREGATE LIABILITY OF AIDERING AND ITS AFFILIATES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES (IN CREDITS OR MONETARY VALUE) PAID BY YOU TO AIDERING FOR THE SERVICES DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

5. Indemnification

  • You agree to indemnify, defend, and hold harmless AideRing, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising out of or relating to:
    • Your use of the Services.
    • Your User Content, including the content, purpose, and legality of your AI Phone Agent calls and communications.
    • Your violation of these Terms.
    • Your violation of any applicable laws or regulations.
    • Your violation of any rights of a third party, including recipients of calls initiated by your AI Phone Agent projects.
    • Any disputes arising between you and any third party (including call recipients) as a result of your use of the Services.
  • AideRing reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

6. Modification and Termination

  • Modification of Terms: AideRing reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the revised Terms on the Site and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
  • Termination by AideRing: We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to, a breach of these Terms or suspected fraudulent, abusive, or illegal activity, with or without notice. AideRing shall not be liable to you or any third party for any modification, suspension, or termination of the Services.
  • Termination by You: You may terminate your account at any time by contacting us or through your account settings, if available.

7. Governing Law and Dispute Resolution

  • No Waiver: The failure of AideRing to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign these Terms or any of your rights or obligations hereunder, whether by operation of law or otherwise, without AideRing ‘s prior written consent. AideRing may assign these Terms or any of its rights or obligations hereunder without your consent.
  • Notices: Any notices or other communications provided by AideRing under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
